Terms of Service

1. Agreement to Terms

By accessing or using PrepMesh ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

PrepMesh provides an AI-powered predictive operations platform that helps businesses:

  • Generate sales predictions using machine learning
  • Optimize inventory and production planning
  • Reduce waste and increase profitability
  • Import and analyze historical sales data
  • Integrate with POS systems (e.g., Clover)

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your password
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

You must be at least 18 years old to create an account and use the Service.

4. Subscription and Payments

4.1 Billing

Paid features require a subscription. By subscribing, you agree to pay all applicable fees. Subscriptions automatically renew unless cancelled.

4.2 Free Trial

New users may be eligible for a free trial period. At the end of the trial, your subscription will automatically begin unless cancelled.

4.3 Refunds

Refunds may be issued at our discretion. Contact support within 30 days of purchase for refund requests.

5. User Content and Data

5.1 Your Data

You retain ownership of all data you upload to PrepMesh. By uploading data, you grant us a license to process, store, and analyze it to provide the Service.

5.2 Data Accuracy

You are responsible for ensuring the accuracy of data you provide. Prediction quality depends on data quality.

5.3 Prohibited Content

You may not upload content that is illegal, infringing, or harmful. We reserve the right to remove prohibited content.

6. Predictions and AI Limitations

Our AI-generated predictions are estimates based on historical data and algorithms. You acknowledge that:

  • Predictions are not guarantees of future results
  • Actual outcomes may differ significantly from predictions
  • Business decisions remain your responsibility
  • We are not liable for decisions made based on predictions

7. Acceptable Use

You agree not to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Reverse engineer or copy our proprietary technology
  • Resell or redistribute the Service without authorization

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by PrepMesh and protected by copyright, trademark, and other intellectual property laws. Our AI models, algorithms, and predictions are proprietary.

9. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we determine, in our sole discretion, violates these Terms or is harmful to other users, the Service, or third parties.

Upon termination, your right to use the Service will cease immediately. You may export your data before termination.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREPMESH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS; (C) ANY PREDICTIONS OR RECOMMENDATIONS PROVIDED BY THE SERVICE.

12. Indemnification

You agree to defend, indemnify, and hold harmless PrepMesh and its affiliates, officers, agents, and employees from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which PrepMesh operates, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting on the Service or sending you an email. Continued use of the Service after changes constitutes acceptance of the new Terms.
